The corporate governance issues in different parts of the world are gaining significance due to different incidents that has taking place during the recent (Solomon, 2007). Such incidences have caused billions to innocent shareholders who have been deceived by the actions of top management as the focused their attention on maximizing personal well-being instead of maximizing shareholder's wealth and the share value of the organization they were representing (Khan, 2007). The incidence of WorldCom, Enron, and Lehman are some of the examples that could be associated with the corporate governance issue. Perhaps this is the reason that the issue of corporate governance has been given tremendous significance by different government organizations as well as non-governmental organization including international agencies (Gee & Bose, 2009). The OECD in this regard has been working actively in order to address the core issue that will not only safeguard the rights of innocent shareholders who vested the management of the organization to the board but proper corporate governance also ensure a congenial atmosphere for investment that ultimately add to the GDP and other development of a country.
In most of the organizations working in UK, it has been found that different forms of corporate governance violations are usually made. For example, the Walker Review (2009), which is a report that has been submitted to the British Prime Minister after the global financial crises have found that most of the crises that has been experienced in the banking and financial institutions could be attributed to the absence of corporate governance as the top executives of the organizations that suffered during the financial crises were claiming pay and bonuses that were one of the major cause of the crises. The Walker Review (2009) that was submitted to the British Prime Minister in November 2009 strongly argued that board members in order to increase their remuneration were involved in taking undue risks that resulted in huge losses for such organization ultimately resulted in their failures to meet their short-term obligations.
Realizing the significance of the executive remuneration in the corporate governance of a firm, this paper is directed towards presenting that why executives are given high remuneration and to what extent such remuneration could prohibit the corporate governance and to what extent the high remuneration of the top officials are contributing towards the corporate governance problems. The topic will be explored by going through different literature sources as the discussions in the paper could best be described as literature review that describe that why executives remuneration are tend to be high amongst the other professional in the firm and how the high remuneration for executives are leading towards corporate governance problems and how it could also be used to stop the corporate governance problems.
